CARET Sells HotDocs to Mitratech, Refocusing on Midsize Law Firms

SAN DIEGO – On June 10, 2024, CARET, a significant player in software-as-a-service (SaaS) practice management and payment technologies tailored for midsize law firms, announced the sale of its enterprise document automation subsidiary, HotDocs, to Mitratech. Mitratech is a well-known global technology provider for legal, risk, and HR sectors.

Background and Implications

HotDocs has established itself as an industry leader in document automation and assembly solutions. The platform has been widely adopted by major law firms, banking, and financial institutions globally, including a significant proportion of the AM Law 200.

Keri Gohman, CEO of CARET, commented on the sale: “We are proud to have established HotDocs as the category leader of simplifying complex document creation for large enterprises. Mitratech, with its extensive customer base comprising major law firms and corporations, will be an ideal home for HotDocs to achieve its next phase of growth.”

Strategic Focus on Midsize Law Firms

Amid this strategic sale, CARET intends to sharpen its focus on the needs of midsize law firms. The company plans to ramp up investment in advanced technologies, particularly artificial intelligence, aimed at enhancing the operational efficiency of these firms. Notably, CARET will retain exclusive rights to integrate HotDocs with its cloud-based CARET Legal platform, ensuring that its existing customers continue to benefit from document automation.

Technological Evolution and Market Trends

Keri Gohman stressed the role of technology as a significant enabler for organisations, especially in the evolving legal market. “Technology has always been the great enabler, allowing organisations to punch well above their weight. That has never been more evident than it is today as firms look for solutions to better compete in a marketplace undergoing a significant transformation,” Gohman stated.

CARET’s portfolio includes on-premise and SaaS practice management platforms along with private cloud solutions, reflecting the market’s increasing inclination towards cloud-based technologies. The company’s products, such as AbacusLaw, Amicus Attorney, Amicus Cloud, and CARET Legal, serve a substantial number of midmarket law firms globally.

Advisors and Transaction Details

William Blair served as the financial advisor, and Kirkland & Ellis LLP acted as the legal advisor to CARET regarding this transaction. The sale’s financial terms were not disclosed.

Mitratech’s Acquisition and Future Prospects

Mitratech’s acquisition of HotDocs is expected to bolster its document automation capabilities, augmenting its overall suite of technology solutions designed for legal professionals and corporate legal departments. This acquisition aligns with Mitratech’s strategy of expanding its product offerings to provide comprehensive solutions across the legal, risk, and HR domains.
